The raise will involve issuing 798,944 new shares at a discounted price of 178.40 DH each, with full cash payment and immediate voting rights.

Key details of the capital increase
T2S Group Holding will hold an Extraordinary General Meeting on 17 August 2026 to seek shareholder approval for a capital increase of 142.53 million Moroccan dirhams, including the issue premium.
The move, which will take place after the company’s IPO is fully completed, is intended exclusively for Abderraouf Sordo, the firm’s chief executive. The increase will be executed in a single tranche, with the pre‑emptive subscription rights of existing shareholders waived.
- Number of new shares: 798,944
- Subscription price: 178.40 DH per share (‑20 % discount to the IPO price of 223 DH)
- Nominal value: 50 DH per share
The new shares will be fully paid in cash, will be treated the same as existing shares, and will carry current voting rights as well as entitlement to any distributions declared after the capital increase.
The full amount must be subscribed; otherwise the subscription will be deemed null. Shareholders will also delegate the Board of Directors the authority to finalize the terms and timeline of the operation, in coordination with the Moroccan Capital Market Authority (AMMC) and the Casablanca Stock Exchange.
