The Moroccan Capital Market Authority (AMMC) announced on Tuesday that it has approved the prospectus for Sothema’s capital increase, conducted via a nature contribution. The transaction involves exchanging Soludia Maghreb shares for newly issued shares in Sothema.
Under the deal, the company will issue 406,728 new shares, each priced at 1,550 dirhams and carrying a nominal value of 50 dirhams. The total capital injection amounts to roughly 630.43 million dirhams, a substantial boost for the therapeutic company.
Acting on behalf of Abdellaziz Razkaoui and Capital Mezzanine III, Sothema has agreed to allocate the funds received in return for a share swap of Soludia Maghreb titles. The transaction is scheduled to be executed on 15 December 2025.
AMMC’s approval comes as part of its ongoing efforts to strengthen the Moroccan capital market and support strategic corporate restructuring. This move also signals Sothema’s intent to consolidate its market presence and reward its partners.
