CMT Sees Major Shakeup: Ayrad Group Completes Capital Entry, Customs Drops 2.3 Billion Dirham Dispute

Major Developments for CMT as Ayrad Group Completes Capital Stake Acquisition

In a significant update for stakeholders of CMT, the company announced on April 23, 2026, the completion of a key acquisition by Ayrad Group Limited on April 21, 2026, following an initial press release dated March 26, 2026. Ayrad has acquired 100% of the shares of OSEAD Fund, an entity that indirectly holds 37.04% of CMT's share capital via Moroccan subsidiary OMM.

Per the terms of the transaction, Ayrad Group and CIMR will soon submit an authorization request to Morocco's Competition Council to formalize their joint control of CMT.

Separately, CMT confirmed that transactional agreements with OMM and Shaba Metals LLC have been fully settled, with the company receiving $35 million and $12 million respectively from the two entities.

In a major win for CMT and its shareholders, the Administration of Customs and Indirect Taxes (ADII), acting on behalf of the Office of Exchange, has formally withdrawn its legal action against the company. This withdrawal closes the judicial proceedings tied to the long-running dispute, and critically, nullifies the November 4, 2025 judgment from the Casablanca Court of First Instance's correctional chamber, which had ordered CMT to pay 2,324,307,274.26 dirhams (approximately 2.3 billion dirhams).

CMT has committed to updating investors and stakeholders on any material developments related to the transaction in line with existing regulatory requirements.
