Sothema Announces Dual Capital Raise to Fuel Expansion

Moroccan listed Sothema plans a two‑stage capital increase to strengthen its balance sheet and fund the expansion of its Soludia subsidiary. Capital Injection: Sothema’s Dual Share Issue to Boost Growth

In a bid to fortify its balance sheet and fund the expansion of its Soludia business, Moroccan listed company Sothema has announced a two‑part capital increase set to be taken to shareholders at an extraordinary general meeting on 24 November 2025. The first tranche will bring in new equity in the form of 406,728 shares at a nominal value of 50 DH each, raising €20.33 million in capital or about 20 333 million DH. An outright premium of 610.09 million DH will be provided in full through a nature contribution from Capmezzanine III and Abdellaziz Razkaoui, who will deliver 12,046 ordinary shares of Soludia Maghreb.

The statutory amendment to Article 6 will be conditioned on the successful completion of this component of the transaction.

The second tranche – a cash‑based share issue – will be priced between 1,450 and 1,500 DH per share, furnishing up to 80 million DH, inclusive of the emission premium. The offer will waive the preferential subscription right for the benefit of Sothema’s executives and subsidiaries in accordance with Moroccan law 17‑95 governing joint‑stock companies.

Investors are invited to scrutinise the prospectus and the detailed terms of the capital increase, which were disclosed by the company on 26 October 2025. The dual raise underscores Sothema’s confidence in its Soludia acquisition and signals a forward‑looking capital strategy aimed at sustaining growth.
